What Are Annual Returns?

Annual returns are a yearly compliance obligation for all registered business entities in Namibia. They are filed with BIPA (Business and Intellectual Property Authority) to confirm that the company is still active and its registered details are up to date. Annual returns are distinct from tax returns — they are a corporate compliance obligation, not a tax filing.

Who Must File Annual Returns?

All registered entities must file annually, including:

  • Close Corporations (CCs)
  • Private Companies (Pty Ltd)
  • External (Foreign) Companies
  • Section 21 Companies (NGOs)

When Are Annual Returns Due?

Annual returns are due within the anniversary month of your company's registration date each year. For example, if your company was registered in March, your annual returns are due each March. BIPA does not send reminders — you must track this deadline yourself (or let Chrimson track it for you).

What Does Filing Annual Returns Involve?

Filing annual returns with BIPA involves:

  • Submitting a confirmation that the company's details are still current.
  • Updating any changes to registered addresses, members, or directors.
  • Paying the annual duty fee (the amount depends on your entity type and authorised share capital).

What Happens If You Miss Annual Returns?

Missing one year results in penalty interest on the unpaid duty. Missing two consecutive years triggers BIPA deregistration — your company is removed from the register and loses its legal standing. Contracts, tenders, and banking relationships are immediately affected.
