What Is BIPA Deregistration?

BIPA (Business and Intellectual Property Authority of Namibia) can deregister a Close Corporation or Private Company if it fails to file annual returns or pay annual duties for two or more consecutive years. Once deregistered, the entity loses its legal standing — it cannot trade, open a bank account, or apply for tenders.

Can a Deregistered Company Be Restored?

Yes. BIPA allows for re-instatement (restoration) of a deregistered entity. The process requires the company's members or directors to apply formally and pay all outstanding fees, penalties, and the current year's duty.

Documents Required for Re-Instatement

  • Completed re-instatement application form (available at BIPA Windhoek).
  • Certified copies of ID for all current members or directors.
  • Payment of all outstanding annual duties plus a re-instatement fee.
  • A letter motivating the reason for deregistration (missed payments, illness, relocation, etc.).
  • If the company name has been taken: a new name reservation must accompany the application.

What If Someone Else Has Taken the Name?

This is rare but possible. If your former CC or Pty Ltd name has been registered by another party during the deregistration period, BIPA will require you to choose a new name. A name reservation must be submitted alongside the re-instatement application.

Timeline for Re-Instatement

Most straightforward re-instatements are processed within 10–21 working days from the date of a complete application. Complex cases — particularly those involving name conflicts or missing member documentation — may take longer.
