How to Register an NGO in Namibia: Step-by-Step 2026 Guide
Registering an NGO or non-profit in Namibia requires BIPA registration as a Section 21 company, followed by Welfare Organisation status for tax exemption. Here's exactly how to do it — documents, costs, timelines, and pitfalls.
What Is an NGO in Namibia?
In Namibia, a non-governmental organisation (NGO) is typically registered as a Section 21 Company under the Companies Act. Section 21 refers to non-profit companies that apply their income towards their stated objectives and do not distribute profits to members.
For additional tax benefits and donor credibility, NGOs can also apply for Welfare Organisation status from the Ministry of Health and Social Services.
Step 1: Choose Your Structure
For most NGOs and charities, the recommended structure is a Section 21 Company (non-profit). This provides limited liability to members while being recognised as a non-profit entity. Associations and churches may use alternative structures — contact us to discuss your specific situation.
Step 2: Prepare Your Constitution
Before filing with BIPA, you need a Constitution (also called a Memorandum of Incorporation for Section 21 companies). This document must specify:
- The NGO's name and registered address.
- Stated objectives and activities.
- Membership rules.
- Governance structure (Board of Directors or Trustees).
- Non-distribution clause (profits not paid to members).
- Dissolution clause (assets go to a similar organisation on winding up).
Step 3: File with BIPA
Submit your Section 21 company application to BIPA along with:
- Completed CM1 form (application for name reservation).
- CoR14.1 (Notice of Incorporation).
- Your approved Memorandum of Incorporation.
- Certified ID copies for all founding members and directors.
- Payment of BIPA registration fees.
Timeline: 21–45 working days from submission of a complete application.
Step 4: Apply for Welfare Organisation Status (Optional but Important)
Welfare Organisation status is granted by the Ministry of Gender Equality, Poverty Eradication and Social Welfare. It allows the NGO to receive donations tax-free and issue tax-deductible receipts to donors. This is essential for accessing donor funding from international organisations.
Step 5: NamRA Tax Exemption Registration
Once registered as a Section 21 and granted Welfare Organisation status, apply to NamRA for income tax exemption. Without this, the NGO remains liable for income tax on any surplus.
